Stockholm, Sweden, September 30, 2024. The Board of Directors of Egetis Therapeutics AB (publ) (“Egetis” or the “Company”) (Nasdaq Stockholm: EGTX) has resolved on directed share issuances of in total 66,666,667 new ordinary shares at a subscription price of SEK 4.50 per share, corresponding to a 0.1 percent premium to the 5 day volume weighted average price (VWAP) preceding this announcement (the “Directed Issue”), through which the Company receives SEK 300 million (approximately USD 30 million) before transaction costs. The Directed Issue was oversubscribed and included both existing and new international and Swedish institutional investors. It was led by US healthcare investor Frazier Life Sciences with a USD 10 million investment, and supported by the international healthcare specialist Invus (USA/France), Platinum Asset Management (Australia), The Fourth Swedish National Pension Fund, Handelsbanken Fonder AB through the investment fund Hälsovård Tema (Sweden), Unionen (Sweden), HealthInvest Partners AB (Sweden) and Cidro Förvaltning AB (Sweden).

The Board of Directors of Egetis has, as announced in the press release from the Company today, resolved on directed share issuances of in total 66,666,667 new ordinary shares at a subscription price of SEK 4.50 per share divided into two separate tranches, consequently raising proceeds of SEK 300 million (approximately USD 30 million) before transaction costs. 43,885,718 shares will be issued based on the issue authorization granted by the annual general meeting on May 6, 2024 (“Tranche 1”), and the remaining 22,780,949 shares will be issued subject to the subsequent approval of an extraordinary general meeting, which is expected to be held on or around October 25, 2024 and the approval and publication of a customary listing prospectus (“Tranche 2”). The Company expects the prospectus to be approved and published on or around November 7, 2024. Principal shareholders including Frazier Life Sciences, Cidro Förvaltning AB (Peter Lindell), Avla Holding AB, Unionen, RegulaPharm AB, The Fourth Swedish National Pension Fund and Handelsbanken Fonder AB through the investment fund Hälsovård Tema, who as per the date hereof together hold approximately 47.7 percent of the shares and votes in Egetis, have undertaken, or expressed their intention to vote in favour of Tranche 2. Notice to the extraordinary general meeting will be published through a separate press release.
The subscription price in the Directed Issue was determined through an accelerated bookbuilding procedure led by Bryan, Garnier & Co as Sole Global Coordinator and, together with Handelsbanken Capital Markets, as Joint Bookrunners, and was, accordingly, in the assessment of the Board of Directors set on market terms and conditions.
The Company intends to use the proceeds from the Directed Issue to primarily finance:
- the continued development of Emcitate® for application for marketing authorisation in the US,
- enabling of a marketing authorisation in EU for Emcitate®,
- preparatory launch activities in Europe and continued build-up of a commercial and medical affairs infrastructure for the commercialisation of Emcitate® in EU and US, and
- working capital and general corporate purposes.
The Board of Directors of the Company deems, after an overall assessment and careful consideration, that new share issuances with deviation from the shareholders' preferential rights are a better alternative for the Company’s shareholders than a rights issue. A rights issue would entail significantly longer execution time and thereby increased market exposure and a higher potential risk of materially affecting the share price negatively, particularly in this volatile and challenging market, compared to a directed share issue. The cost of carrying out a directed share issue is deemed to be lower than in a rights issue where, among other things, there would be a risk that a rights issue would not be fully subscribed and significant underwriting commitments from an underwriting syndicate would possibly have to be procured. In addition, unlike a rights issue, the Directed Issue has broadened the shareholder base and provided the Company with new reputable institutional investors, which the Board of Directors believes will strengthen the liquidity of the shares and be beneficial to the Company.
The Directed Issue entails a dilution of approximately 18.6 percent of the number of shares and votes in the Company (calculated as the number of newly issued ordinary shares divided by the total number of shares in the Company after the Directed Issue). Through the Directed Issue, the number of shares and votes in the Company will increase by 66,666,667 from 292,571,459 to 359,238,126. The share capital will increase by approximately SEK 3,508,773 from approximately SEK 15,398,504 to approximately SEK 18,907,277.
Settlement of Tranche 1 is expected to take place on or around October 3, 2024. Tranche 2 will be settled as soon as practically possible following the extraordinary general meeting’s approval of Tranche 2 and subject to the approval and publication of a customary listing prospectus, entailing that settlement is expected to take place on or around November 11, 2024.
In connection with the Directed Issue, the Company has agreed to a lock-up undertaking, with customary exceptions, on future share issuances for a period of 90 calendar days after the settlement date of Tranche 1. In addition, the shareholding members of the Board of Directors (except Peder Walberg) and members of the senior management have undertaken not to, subject to customary exceptions, divest any shares in the Company for a period of 90 days from the settlement date of Tranche 1. Frazier Life Sciences has undertaken not to, subject to customary exceptions, divest any shares in the Company that are purchased in the Directed Issue for a period of 90 days from the settlement date of Tranche 1.

Bryan, Garnier & Co acted as Sole Global Coordinator and, together with Handelsbanken Capital Markets, as Joint Bookrunners in connection with the Directed Issue.
