Efecte Plc applies for the delisting of its shares from Nasdaq First North Growth Market Finland
The Board of Directors of Efecte Plc (“Efecte”) has today resolved to apply for the termination of public trading in the shares of Efecte and for the delisting of its shares from First North Growth Market Finland maintained by Nasdaq Helsinki Ltd (“First North”).
European 24 Bidco Oy (“European 24 Bidco”) holds more than 90 percent of all the issued and outstanding shares and voting rights carried by the shares in Efecte. On 12 April 2024, European 24 Bidco filed an application for the appointment of an arbitral tribunal, and a request to submit an application for the appointment of a trustee with the Redemption Committee of the Finland Chamber of Commerce. The arbitration proceedings for the redemption of the minority shares in Efecte pursuant to Chapter 18 of the Finnish Companies Act, which were initiated by European 24 Bidco to acquire all issued and outstanding shares in Efecte, became pending on 14 May 2024.
The Board of Directors of Efecte has today resolved to submit an application to Nasdaq Helsinki for the termination of public trading and for the delisting of the Efecte shares from First North. In the application, it is requested that the termination of public trading in Efecte shares and the delisting of the shares from First North would become effective as soon as possible after European 24 Bidco has obtained title to all the issued and outstanding shares in Efecte in the redemption proceedings under Chapter 18 of the Finnish Companies Act.
